Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Midnight Crush, including the website, progressive web app, and related digital features (the "Service"). Midnight Crush is operated by LearningSpoons Corp.("LearningSpoons," "we," "us," or "our").

Midnight Crush is a romance-novel style AI character chat service for story-driven conversations with fictional characters. It is not a dating service and does not match you with real people.

By creating an account, signing in, installing the app, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

The Service is not intended for or directed to children under 13. Children under 13 may not create an account or use any part of the Service, including chat, stories, collections, comments, or other interactive features. Parental or guardian consent does not allow a child under 13 to use the Service.

You must be at least 13 years old to use the Service. If you are 13 or older but under the age of majority where you live, you may use the Service only with the consent and supervision of a legal guardian. If you are a legal guardian accepting these Terms on behalf of a minor, you represent that you are authorized to do so and to bind that minor to these Terms.

Users who may use the Service may also purchase Carots or other paid digital items. If you are under the age of majority where you live, you may purchase only with the consent of a legal guardian. You or your legal guardian, as applicable, represent that you have the right to use the selected payment method. Adult verification, and any adult-designated features or content we later make available, are limited to users who are 18 or older and who complete any age check we require. You are responsible for complying with the laws that apply to you.

When you use the Service, you represent that the information you submit is truthful, that your use complies with applicable law, and that you are of sufficient legal age or otherwise have legal capacity to enter into these Terms.

3. The Service

Midnight Crush may include AI character chat, character profiles, opening scenes, personas, relationship and memory features, collections, comments, creator-published characters, daily rewards, carot purchases, push notifications, and a home-screen app install. We may add, change, or remove features. We do not guarantee that any character, scene, memory, or conversation will remain available.

Some features require an account, a carot balance, or both. Access may depend on the character, your account status, the selected chat option, and applicable safety rules.

4. Accounts

You are responsible for keeping your account secure and for all activity under your account. Provide accurate information when you sign up and keep it current.

You may sign in with email and password or a supported login provider, such as Google. If the same verified email is used for both, we may connect those sign-in methods to one account. Do not share your password or account access. If you believe your account was used without permission, contact us through hi@midnightcrush.chat.

We may refuse, delay, suspend, or close an account that is inactive, insecure, abusive, or otherwise in violation of these Terms. We may also refuse registration if a child under 13 submits a request, or if a user who is 13 or older but under the age of majority registers without the consent of a legal guardian.

5. Fictional Characters and Conversations

Characters are fictional. Midnight Crush is a romance-novel style AI character chat service. Conversations are generated by AI and may include romantic themes or storylines between fictional adult characters. It is not a dating service and does not match you with real people.

You must not use the Service to create, request, or share sexual content involving minors or any character depicted or described as a minor.

You must not use the Service for illegal content, non-consensual exploitation, or other harmful material. We may restrict characters, chats, or accounts that violate these rules.

6. Carots

Carots are prepaid software usage credits for Midnight Crush. They unlock designated in-service features such as chat turns and certain persona or content actions. They are not money, do not earn interest, and cannot be transferred, sold, or exchanged for cash. Carots have no value outside Midnight Crush.

Carots may be used for chat turns and other in-service features we designate, including some persona or content actions. When a feature consumes carots, the debit is final once the feature is delivered, except where a refund is required by law or approved by us.

We may change carot prices, packages, bonuses, or the features that consume carots. Unused promotional, daily-reward, or signup carots may expire or be adjusted if needed to prevent abuse.

7. Payments and Refunds

Users who may use the Service may purchase Carots. If you are under the age of majority, you or your legal guardian must consent to the purchase and warrant that you have the right to use the selected payment method.

Web purchases of Carot packages may be processed by PayPal or Paddle. For transactions processed through Paddle, Paddle.com Market Ltd acts as the Merchant of Record for payment processing, sales tax and VAT collection, and invoicing, subject to Paddle's Buyer Terms and Conditions. After payment confirmation from the processor, we add the purchased Carots to your account.

If you buy Carots or other digital items through the Apple App Store or Google Play, Apple or Google processes that payment under the store's terms. Those store terms also govern store refunds and billing support.

Prices are displayed before purchase confirmation. Taxes, currency conversion, and payment-provider fees may apply. Carots are a limited, non-transferable license to use designated features in the Service. They are not cash and cannot be exchanged for money outside Midnight Crush.

Except where required by applicable law, web Carot purchases may be refunded only as described in our Refund Policy: generally within seven days of purchase, and only if none of the Carots from that purchase have been used. Using any Carots from a purchase accepts that purchase and makes it non-refundable. We do not issue partial refunds for leftover Carots after any of that purchase has been used. Subjective dissatisfaction with AI output is not a basis for a refund. Promotional, daily-reward, or other free Carots cannot be refunded.

If a payment is reversed, charged back, or otherwise fails after Carots were added, we may remove those Carots or suspend the account until the payment is resolved.

8. Content and Conduct

You are responsible for the messages, characters, images, comments, personas, and other content you submit. Do not use the Service to create or share content that is illegal, abusive, exploitative, harassing, or otherwise harmful.

You agree not to:

• attempt to access another user's account or private conversations;
• interfere with the Service, including scraping, overload, or abuse of APIs;
• use the Service to generate or distribute malware, spam, or fraud;
• upload images or files you do not have the right to use;
• misrepresent your identity in a way that is deceptive or harmful;
• use automated tools to create accounts or consume carots without authorization.

We may restrict access to characters, chats, uploads, or accounts that violate these rules or our safety standards. We may remove content that we reasonably believe violates these Terms or applicable law.

9. Your Content

You retain ownership of the content you submit. You grant LearningSpoons Corp.a non-exclusive license to host, process, display, and use that content as needed to operate, secure, and improve the Service, including generating AI replies and maintaining conversation memory.

Public character profiles, comments, and other public pages may be visible to other users and to search engines. Private chat messages are used to provide the conversation and related memory features, as described in the Privacy Policy.

10. AI Output

AI responses are generated automatically and may be inaccurate, incomplete, inconsistent, or fictional. Characters are fictional. Do not treat AI messages as professional, medical, legal, or financial advice, or as statements of fact about real people.

We do not guarantee a particular tone, length, or outcome for any conversation. Output may vary by character, scene, memory, and selected chat option.

11. Intellectual Property

The Service, including the Midnight Crush name, branding, software, and original character materials we publish, is owned by LearningSpoons Corp. or its licensors. These Terms do not transfer any ownership to you.

You may not copy, reverse engineer, or republish the Service except as allowed by law or with our written permission.

12. Third-Party Services

The Service may use third-party login, payment, hosting, storage, analytics, advertising, push-notification, and AI providers. Those providers have their own terms and privacy policies. We are not responsible for third-party services we do not control.

13. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

14. Limitation of Liability

To the fullest extent permitted by law, LearningSpoons Corp. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost carots, arising from your use of the Service.

Our total liability for any claim relating to the Service is limited to the amount you paid us for carots in the three months before the claim, or USD $50, whichever is greater, unless a different limit is required by law.

15. Termination

You may stop using the Service at any time. Signed-in users may delete their account in Settings. You may also contact us through hi@midnightcrush.chat.

We may suspend or terminate access if you violate these Terms, if we are required to do so by law, or if we discontinue the Service. Unused carots are not redeemable for cash after termination, except where required by law.

16. Changes

We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. Continued use of the Service after an update means you accept the revised Terms.

17. Governing Law

These Terms are governed by the laws of the United States applicable to LearningSpoons Corp., without regard to conflict-of-law rules, except where a mandatory local consumer law applies to you in your jurisdiction.LearningSpoons Corp. maintains its principal office at 15, Gangnam-daero 94-gil, Gangnam-gu, Seoul, Republic of Korea, 3F.
